We represent both financial institutions and industrial groups.
Although the approach may be somewhat different, the issues are the same.
Despite being a medium-sized firm, our capacity to mobilise is significant as we are accustomed to working in teams and can very quickly mobilise one-third of our staff for a major deal.

Our initial approach is economic. The principal consideration in any transaction, whether it be the acquisition or sale of a company, a capital investment or a corporate merger, is to fully apprehend our clients business and its future in a given business sector.
This analysis requires preliminary work by our teams specialised in the law of concentrations and in company law. Their job is to identify market changes and to propose a corporate project appropriate thereto.
A purely financial analysis comes next. This obviously includes an assessment of legal risks, an analysis that is always specific, as risks vary depending on the business of the players involved.
We provide technical guidance, in particular with regard to labour law and tax issues, which are currently the principal areas of risk in these transactions.
Our objective is to make practical recommendations that enable our clients to form an informed opinion regarding the value of their investment and to optimise their business risk, in particular by the inclusion of net asset warranties.
The legal and tax structuring of the transaction comes next. Our team specialised in company law and convertible securities will draft clear documents in accordance with French practice.
